These Terms of Use ("Terms") govern your use of canaryhcp.com (the "Site"), operated by Canary Human Capital Partners, Inc. ("Canary HCP," "we," "us"). By using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.

1. Information only; no advisory relationship

The Site describes our services and offers general information about human capital topics. Using the Site or sending us a message does not create a consultant-client or other professional relationship. Any engagement with Canary HCP begins only when both parties sign a written agreement. Using this site is not legal, employment-law, tax, or other professional advice, and you should not rely on it as such.

2. Inquiries and confidentiality

Please do not send confidential or sensitive information through the Contact form or by email before we have agreed to work together. Information you send before an engagement may not be treated as confidential.

3. Acceptable use

You agree not to:

  • use the Site for any unlawful purpose;
  • attempt to gain unauthorized access to the Site, its servers, or its data;
  • introduce viruses or other harmful code, or interfere with the Site's operation;
  • use automated tools to scrape or copy the Site, other than ordinary search engine indexing; or
  • submit false, misleading, or another person's information.

4. Intellectual property

The Site and its content, including text, graphics, logos, images, and layout, belong to Canary HCP or its licensors and are protected by copyright, trademark, and other laws. "Canary Human Capital Partners" and "Canary HCP" are names of Canary Human Capital Partners, Inc. You may view and print the Site for your own business use, but you may not copy, modify, distribute, or create derivative works from it without our written permission. The book Canary in the Coal Mine and its content are the property of its author and publisher and are subject to their own rights.

5. Third-party links

The Site may link to third-party websites, such as book retailers or professional networks. We do not control or endorse those sites and are not responsible for their content or practices. You use them at your own risk.

6. No warranties

The Site is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of accuracy, fitness for a particular purpose, and non-infringement. We do not promise that the Site will be uninterrupted or error-free.

7. Limitation of liability

To the fullest extent permitted by law, Canary HCP and its officers, partners, employees, and contractors are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Site. Our total liability, if any, for any claim relating to the Site will not exceed $100. Nothing in these Terms limits liability that cannot be limited by law. Services we provide under a signed engagement agreement are governed by that agreement.

8. Indemnification

You agree to defend and hold harmless Canary HCP from claims, losses, and expenses, including reasonable attorneys' fees, arising from your misuse of the Site or your violation of these Terms.

9. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute relating to the Site will be brought in the state or federal courts located in Burnet County, Texas, and you consent to their jurisdiction.

10. Changes to the Site and Terms

We may change the Site or these Terms at any time. The effective date above shows when the Terms last changed. Continued use of the Site after a change means you accept the updated Terms.
